The principal founder of the business is Ruairi O Nuallain. The main attributes he brings to the business include:-

Ruairi O Nuallain's background has evolved from his experience as a business financial specialist. He gained much of his financial expertise working in Bank of Scotland Ireland/ICC Bank plc for almost 25 years. His career was solidly based on his numerate background and education in economics and statistics and experience in dealing with companies. He has become a leading financial specialist, with the following skills- providing advice to shareholders;
- advising companies on a wide range of financial matters;
- negotiating the value of private companies in buy and sell deals;
- negotiating terms for shareholders agreements;
- structuring and managing returns on equity;
- negotiating exit mechanisms with particular emphasis on private companies.
He also is an experienced corporate negotiator acting for owners of private companies. His negotiations include: - - agreeing heads of terms between shareholders;
- acquisitions;
- disposals of shareholdings.
This gives him a unique insight into how mergers and acquisitions between buyers and sellers are firstly prepared, the shareholder issues involved, and the tactical and strategic approaches to negotiating transactions between buyers and sellers of private companies.
Director - Mezzanine Capital, Bank of Scotland (Ireland).
Ruairi was the first specialist in Bank of Scotland Ireland dedicated to Mezzanine Capital. Mezzanine Capital is a type of finance that involves taking investment/loan positions with companies for the bank, that lie between equity and senior debt. A key requirement is to understand the dynamics of business valuation on exit, so that the required rates of return may be achieved for an investment.
Ruairi's banking and corporate finance advisory background, together with his knowledge of economics and statistics, provide the specialist skills that understand the financial dynamics of business, and the requirements necessary to obtain an adequate return that compensates for the risks involved. Ruairi gained valuable insights into the key value drivers for shareholders, investors and banks, and the valuation issues that can arise for private companies. His negotaitions experience in dealing with mergers and acquisitions provide a solid foundation for expertise in valuing private companies. He left the Bank in January 2003, to build on the business he founded a few years earlier.
Bank of Scotland Ireland Acquisition.
Ruairi advised the directors of Bank of Scotland Ireland on the acquisition of the 50% shareholding from a subsidiary of GE Capital in a joint venture invoice discounting business (ICC-Heller Ltd.). This included advice on the valuation and negotiations approaches concerning the negotiations for the transaction. The deal was successfully completed in 2002.

Executive Director - Corporate Finance.
In this role Ruairi advised the Board of directors of the Bank's specialist financial advisory arm, ICC Corporate Finance Ltd, along with providing specialist financial advice on: - - shareholders matters,
- share purchase and exit mechanisms to owners of private companies.
- In addition, Ruairi also advised the Bank's main board of directors on the stock exchange and prospectuses for successful rights issues that raised significant sums of equity to strengthen the Bank's capital ratios.
- He also advised several private companies on corporate sales and acquisitions, including providing the leadership role as the principal negotiator in several transactions.

| EXTENSIVE CORPORATE BANKING CAREER. | Ruairi successfully built and managed a portfolio of banking customers over several years.
He dealt with a wide range of businesses, appraising their credit worthiness and financial accounts. These included small businesses and large corporates, as well as publicly quoted companies.
He negotiated deal sheets and the principal terms of loan facilities on behalf of the bank with customers.
He made presentations to credit committees on them.
He supported and saw at first hand several of his customers successfully develop their businesses into valuable enterprises, and obtained insights into the vision and strategic thinking of many entrepreneurs.
